Showmore Terms of Service

ecosTek Co., Ltd (“ucfunnel”, “we”, “us”, and “our”), under the terms and conditions of this Terms of Service (“Terms”), provides to you the Showmore E-Commerce Online Shop System (“Showmore” and “Shop”). We offer to Showmore users, among other things, a full-featured platform that allows you to easily build their store website, sell goods across multiple channels, connect with their followers, and deliver a seamless omni-channel experiences ("Services").

By registering for a Showmore account (“Users”), you acknowledge to have read and agree to be bound by all of the terms and conditions referenced or linked to this Terms, including but not limited to the Showmore Privacy Policy (“Privacy Policy”), as updated or changed from time to time. Showmore may, without the consent of the Users, amend or modify this Terms, Privacy Policy and if any, other terms and conditions applicable to Showmore or Services, at any time and from time to time.

We recommend that you review this Terms from time to time for any updates or changes. If you do not agree to any of the terms and conditions of this Terms, or any of the applicable laws, statutes, ordinances, or regulations, please do not proceed to use or access Showmore or the Services.

1.1 Before registering for a Showmore account and use the Shop or the Services as a seller (“Seller” or “Sellers”), you are advised to read this Terms, accept and to be bound by this Terms, the Privacy Policy and any applicable supplementary terms and conditions.
1.2 By registering or using the Shop or any of the Services, you acknowledge that you have read and fully understand the content of services, and you authorize ucfunnel, Showmore or our affiliates to charge the applicable fees of such usages of the Shop or of the Services.
1.3 Showmore may provide to the Seller the use of Showmore or Services on a trial basis. No refund of any amount paid shall be returned upon the Seller’s acceptance to use Showmore or any of the Services after the trial period. You have the right to choose any function or additional service provided by Showmore, and you also agree to pay the collection of the fees or other payment for any product or services you choose.
1.4 The Seller must be at least the legal age of majority in the jurisdiction where he/she resides and from which the Seller uses the Shop or the Services. The Seller shall register for an account by providing his/her full legal name, phone number, current address, valid email address, and any other information as required. Sellers who are minors may only use Showmore or Services by obtaining prior consent from their parents or legal guardians, after their parents or legal guardians have read, understood and agreed to the Terms and any updates from time to time. In such case, the usage of Showmore or Services will be deemed as the parents or legal guardians of the minors have read, understood and agreed to the Terms and any updates from time to time.
1.5 Showmore will use the email address that the Seller provided during registration as the primary method of communication.
1.6 The Seller shall be solely and fully responsible for keeping his/her account information and password secure. ucfunnel or Showmore will not be liable for any losses or damages from the Seller’s failure to maintain the security of his/her account or password.
1.7 The Seller shall be solely and fully responsible for any information account, including but not limited to account information, product information, texts, data, graphics, images, links, and any related information (together, "Contents") that he/she submits, posts, and displays on his/her Showmore account. The Seller represents and warrants that the Contents and his/her usage of Showmore or Services shall not involve the transaction of illegal, counterfeit, or stolen items infringe upon any third-party's copyright. Showmore reserves the right to remove, suspend or terminate the Seller’s access or use of Showmore and his/her account at any time if Showmore, at its sole discretion, believes that the Seller has violated the aforesaid terms and conditions.
1.8 By selling any goods or services at the Shop or Showmore, or entrusting Showmore for campaign management and delivery services, you agree with the following terms:

a. Product Guarantee

i. The quality and legality of product: You should claim for the ownership over the products being displayed and sold on your Shop, or that you are legally authorized to be the seller by the owner of the products.
ii. You should guarantee that the products, trademarks, contents, and etc. sold and promoted by you are in accordance with the applicable laws of the Republic of China, Taiwan; Showmore may, at any time, requests that you provide original documents of any necessary information, to ensure the authenticity of the goods or services, the origin of the products, and the legality of products, trademarks, contents, advertisements and etc.
iii. Special product: If your products include Food, healthcare, cosmetic, medical devices, pharmaceutical, or other special products that are regulated by aforementioned rules and regulations, you shall label the Approval Number or any necessary information as required by such laws or regulations. You shall be responsible to review and be familiar with such laws, regulations, and any amendments or changes from time to time, and shall cooperate with Showmore to comply with aforesaid rules and regulations. You also agree Showmore reverses the right, at its sole discretion, to determine whether the goods or services you provided comply with the Terms.
iv. Product license number: You acknowledge and agree that you are solely responsible and liable for issues arising from, or regarding to the failure to obtain any sale authorizations, changes of contents of the approved advertisements, display of unauthorized advertisements, or the use of illegal, misleading, or exaggerated claims of products. You agree to take any necessary action to hold ucfunnel and Showmore harmless.
v. Intellectual property rights: You represent and warrant not to list, use, display, upload any Contents that will in anyway infringe the copyright, trademark, patent or other intellectual property rights of third parties, and you agree to be solely responsible and liable for any claims, losses or damages arising from the aforementioned disputes.

b. After-Sales Service:

Sellers agree to provide an After-Sales Service subject to the Civil Code, the Consumer Protection Act, the Act Governing Food Safety and Sanitation, the Fair Trade Act and any applicable laws or regulations under applicable law. The Users acknowledge that ucfunnel or Showmore are in no manner responsible for any After-Sales Service.

1.9 By registering for an account on Showmore, the Seller acknowledges to have read and agrees to this Terms. In case a legal entity is registered as the Seller, it is deemed that the legal entity and the owner of the legal entity have agreed to this Terms.
1.10 By using Showmore, you acknowledge that you have read and understand Showmore Privacy Policy and agree ucfunnel and Showmore to harvest, collect, use, process, transmit, and store such information subject to the Privacy Policy.
1.11 Showmore will take proper measures to ensure the security of the data and information of the Sellers; credit card information that are being transmitted will be encrpyted. Credit payments are processed through banks or third-party payment channel employed by Showmore, and Showmore will not store any credit card information from any User.

2. Third Party Services

2.1 Showmore may refer third-party payment, logistics, advertisement, and social media service providers (“Third-Party Providers”), to facilitate and to help build your own online store. You may adopt and utilize such Services provided by the Third-Party Providers, including third-party payment systems, logistics, agent receipt, electronic receipt, advertisement, SMS, and social media platforms (“Third-Party Services”). You acknowledge and agree that Showmore may cease or terminate the use of any Third-Party Services at any time. You may contact the Third-Party Provider at your own discretion to continue the usages of such Third-Party Services, however, parts of the Showmore and/ or Third-Party Services features might be affected once Showmore cease or terminates the use of the Third-Party Services.
2.2 You understand and agree that to use any of the Third-Party Services, you must file an application to Showmore as a User, and you acknowledge that you might create a contractual relationship with the Third-Party Providers, directly or indirectly through Showmore. Showmore and the Third-Party Providers reserve the right to accept or decline such usage application. In case of using the third-party payment or logistics services, you shall enter into a separate contract with the corresponding Third-Party Providers, and the relationship between you and any Third-Party Provider is strictly between you and such Third Party Provider. All the activities, including but not limited to issue of invoices, debit memos or credit notes, order amendment, cancellation, and any other related procedures are between you and the Third-Party Providers, and Showmore is not obligated to intervene in any dispute arising between you and any Third-Party Provider. You shall read and understand the terms of services of the Third-Party Providers at your own discretion. Showmore and this Terms will not guarantee any results of the application, and such results shall be determined and final as Showmore or Third-Party Provider respond.
2.3 If you choose to use Third-Party Services, you also agree to be bound by the Third-Party Services’ terms and conditions (“Third-Party Terms”) applicable to such services, including but not limited to the services, terms, policies, and fees. If you do not agree to the Third-Party Terms, please do not proceed to use or access the Third-Party Services. In the case where ucfunnel or Showmore suffer losses, damages either directly or indirectly (including, without limitation, attorney fees) due to the User’s use of the Third-Party Services, the User shall immediately compensate ucfunnel or Showmore for such losses or damages in accordance with ucfunnel or Showmore’s request.
2.4 You are responsible to read and understand the Third-Party Terms at your own risk, and acknowledge that Showmore is not involved and does not warrant any application results, services, or terms of the Third-Party Providers. Showmore does not own or operate the Third-Party Services and is not a partner of the Third-Party Providers, meaning Showmore is not responsible for any of the Third-Party Services. Showmore advises you to verify the credibility, security of correctness of any information given to you during the usage of Showmore or the Third-Party Services, as links or applications might direct you to external websites, and Showmore cannot guarantee the accuracy of information on such external websites.
2.5 If you wish to develop your own or use any third-party software, plug-in, add-on, programs, or applications other than the Third-Party Services, you must obtain prior consent from Showmore, Failure to obtain such consent from Showmore, Showmore will not warrant functions or usage of any aforesaid software, plug-in, add-on or applications, and the Users will be held responsible and liable for any losses or damages of Showmore.

3. Buyer Members

By using Showmore or Services, you agree with the following terms:

3.1 You are required to provide your personal information up to date when registering to Showmore. Showmore requires you to keep your account, password, or the security question secure. You may contact us at info@showmore.cc for any questions regarding account, password, or the security question.

3.2 You must update your personal information if any changes have been made. Showmore may suspend or terminate your access to the Services or your account if you provide any inaccurate, unauthentic, or incomplete personal information.

3.3 Showmore, Sellers, or affiliates of the Sellers reserve the right to accept or decline your order.

3.4 Showmore only provide Services related to the Shop. Sellers or affiliates of the Sellers are fully responsible for orders acceptance, review, handle, shipping, delivery of goods or services and issue of invoice.

3.5 All the sales records will be stored by the Showmore system. Please contact info@showmore.cc if you find any inaccuracy on the sales records. Please note that Showmore will not collect your personal financial information (such as the use of payment tools), and you will be solely responsible to keep your account information and password secure, and avoid any fraudulent activities conducted by any other third-party.

3.6 You acknowledge that the actual contract for sale is directly between you and the Seller and Showmore is not a party to that or with any other contract between you and the Seller, and Showmore accepts no obligations in connection with any such contract or transaction. You are advised to retrieve or request information from the Seller regarding the quality, content, delivery, defect warranty or guarantee of the goods or services prior to conducting such transactions.

3.7 Showmore is not a party to the transactions and is not legally binding in any dispute arises from the above circumstances including buying, selling, services, and any other trading activities. Showmore is not responsible or liable for any losses, damages or claims arising from such transactions.

4. Data Analysis and Application

4.1 By registering to Showmore, you acknowledge that you have agreed Showmore to collect, use, and process your data and information, including but not limited to your business plans, tactics, features, servers, system, logs, devices, software, plug-in, add-on, programs and any other applications (“Information”). Showmore may regularly or irregularly collect the Information to optimize the Services, to improve the technical support and to deliver related services.

4.2 Showmore, ucfunnel and our affiliates may use collect or utilize your information to improve the Shop, Services or any necessary features of ours, but shall only disclose your data or information to a third-party if the personal information is non-personally identifiable. For further details on how Showmore collects, utilizes and protects your personal information please see the Privacy Policy.

5. Privacy and Data Protection

5.1 Showmore is committed to protecting your privacy and employs both physical and technical safety measures to keep your information secure.

5.2 By registering to Showmore account or using of the Services, you acknowledge and agree that Showmore may collect, use and disclose such information subject to the Privacy Policy. Your continued use of Showmore and the Services will mean that you accept and agree to the Privacy Policy.

5.3 You acknowledge that links, contents, or services on Showmore may be provided by a third-party other than Showmore. By clicking, accepting or using the links, contents or services of a third-party, you are deemed to have agreed and authorized Showmore to transmit necessary information of yours to the third party; if you do not agree Showmore to transmit your information to such third-party, please do not proceed to use or access such links, contents, or services, and shall notify Showmore immediately to cease any information transmission.

5.4 Sellers may obtain personal data or information of the buyers (“Buyers Information”) as a result of transaction, membership establishment or any other related purposes. The Seller are solely responsible to adapt any required measures to protect such obtained information subject to the Personal Data Protection Act and any applicable laws. Showmore will not request the Sellers to provide Buyers Information unless necessary and is not liable for the Seller’s act of collecting, using or processing the Buyers Information.

5.5 Sellers may request Showmore or a third-party to process or utilize Buyers Information. Showmore will only process or utilize the Buyers Information subject to the Seller’s request and the Private Policy. If Seller does not agree or accept such terms and limitations, please do not proceed to request Showmore to process or utilize such Buyers Information, or terminate or abort such requests. The Sellers shall understand the responsibilities and results of initiating or terminating such requests prior to making one.

5.6 Where the Sellers obtain, collect, process, or use the Buyers Information, the Sellers understand and agree to indemnify, defend, and hold harmless ucfunnel and Showmore from and against any actions, claims, or demands, and all losses, damages, liabilities, fees, fines, penalties, costs, and expenses (including without limitation attorneys’ fees and legal costs). Showmore reserves the right to suspend or terminate the Seller’s access or use of Showmore and their accounts.

6. Payment of Fees

6.1 Showmore provides a full-featured online platform that allows the Seller to easily build their store website, and charges Users for using Services and Third-Party Services. (Unless otherwise indicated, all fees and other charges are in U.S. dollars, and all payments shall be in U.S. currency.

6.2 Fees will appear on an invoice, which will be automatically sent to the Seller’s email on the 5th of every calendar month. We may suspend your access to your account at 0:00 am on the 16th of every month, if the outstanding fees are not paid by the 15th of the same month of the issuance of invoice. Please contact info@showmore.cc to reactivate your account once you have paid the outstanding fee.

6.3 Showmore here by may reserve the right to change fees for any service from time to time; however, any price changes will apply no earlier than 30 days following notice.

7. Cancellation Policy and Termination

7.1 Seller may not cancel his/her account after receiving the confirmation email and signing of the contract with Showmore. Please contact us at info@showmore.cc if you have any questions.

7.2 Upon the expiration of the term of the account, and the confirmation of the Seller to cancel or terminate of his/her accounts, Showmore will immediately delete all account information and Contents. The Sellers are solely responsible to back-up all information before canceling or terminating your Showmore account. Showmore will not be liable for any losses for Sellers’ failure to maintain or back-up his/her Contents or account information.

7.3 If Seller purchased a separate domain name through Showmore, the validity and terms of the separate domain will no longer be automatically renewed upon termination or cancellation of the Showmore account, and the Seller will no longer own the domain name once the terms of the domain name expire. The Seller is sole responsible to back-up or transfer any information of the domain name.

7.4 This Terms may be updated, amended and or terminated from time to time without prior notice to the Users.

8. Disclaimer

You acknowledge and agree that your use of Showmore and the Services are on an “as is” and “as available” basis. Without limiting the foregoing, Showmore gives no warranty:

a. Showmore or the Services meet your requirements;
b. That the Showmore or the Services will be uninterrupted, timeless, or error-free;
c. The products, results, data or any of the kind from the Showmore or the Services are accurate, reliable or correct;
d. The goods, services, or information purchased, bought, obtained or available through Showmore meet your expectation;
e. That any software error will be fixed;
f. Whether downloading any file through the Service is entirely at your own risk and discretion. You are fully responsible for all your activities, including the possible results of the damage or loss of your computer system, internet-based services or components, and any legal appeal to Showmore. Any suggestion and information you receive from Showmore or other Third-Party Providers, written or oral, will not be deemed a warrant for any goods, services or products.
g. You fully understand and agree that Showmore is not responsible for your losses, including but not limited to the following causes:

i. The usage or unable to use the Service;
ii. The cost of purchasing products and services as replacement;
iii. Unauthorized access, modification, or transmission of your information or data by a third-party;
iv. The claims or acts by any third-party for this service;
v. Anything related to this Service

Some jurisdictions do not allow the exclusion of implied warranties, in such cases, part or parts of the above exclusion may not apply to you.

9. Protection of Children and Youth

To ensure internet safety for children and youth and to prevent invasion of privacy, parent or legal guardian should carefully select suitable business web pages for children and youth to browse. Children under the age of 12 should be accompanied by a parent or legal guardian while browsing the internet at all times. Teenagers over the age of 12 and under the age of 18 should obtain a parent or legal guardian’s consent before using the internet.

10. User's Legal Obligations and Commitments

You must promise not to use the Service for any illegal purpose or in any illegal way. You guarantee to follow all applicable laws of Taiwan, the Republic of China, and all international practices of using the internet. If you are a user outside of Taiwan, the Republic of China, you agree to comply with the laws and regulations of your country or region. You agree and assure that you will not use this Service to engage in acts that infringe on the rights of others or violate the law, including but not limited to:

a. upload, post, publish or transmit any defamatory, insulting, threatening, offensive, indecent, obscene, false, violation of public order or good morals or other illegal text, pictures or any form of files on this service;
b. infringe on the reputation, privacy, trade secrets, trademark rights, copyrights, patent rights, other intellectual property rights and other rights of others;
c. use this service in the name of another person;
d. upload, post, transmit or distribute any data that contains computer viruses or any program code that interrupts, destroys or restricts functions of the computer software and hardware;
e. engaging in illegal transactions or posting false and untruthful information that induces crime;
f. selling guns, drugs, prohibited drugs, pirated software or other prohibited items. In the event of a dispute over prohibited items, Showmore reserves the right of final interpretation for prohibited items by its sole discretion. l.
g. provide gambling information or induce others to participate in gambling in any means;
h. spamming; forge the source of information or interrupt the identification of transmission source in any means;
i. harming minors in any way;
j. interfere or interrupt Showmore or the Services, or server or the network connecting the the Showmore or the Services, or fail to comply with the related requirements, procedures, policies, regulations or rules linked to the Showmore or the Services, including but not limited to: using any equipment, devices, software or programs to disable Showmore's robot exclusion headers.
k. provide any substantial support or resources for terrorist activities;
l. tracking others or other interference with others or collecting or storing others' personal information for the foregoing

11. Governing Law

In the event of one or more of the provisions hereof being subsequently declared invalid or unenforceable by court or administrative decisions, such invalidity or unenforceability shall not in any way affect the validity or enforceability of any other provisions hereof except those which the invalidated or unenforceable provisions comprise an integral part of or are otherwise clearly inseparable from such other provisions. This Terms shall be governed by and construed in accordance with the laws of the Republic of China, Taiwan. In case of any dispute arising from this Terms, you agree that Taiwan Taipei District Court shall be the court of in the first instance. You may not assign or otherwise transfer any rights and obligations of this Terms.
